Terms and Conditions

1. Introduction

Welcome to Wall Street Smart (“WSS,” “we,” “us,” or “our”). By purchasing or using our services, you agree to be bound by these Terms and Conditions. Please read them carefully.

Payment of any invoice issued by Wall Street Smart constitutes acceptance of these Terms and Conditions.

2. Services Provided

Wall Street Smart provides the following services:

(a) 1:1 Hourly Coaching

Personalized coaching sessions focused on corporate finance, investment banking, private equity, and hedge fund topics, as well as recruiting strategy, resume review, and broader career development.

(b) Online Programs

Structured educational programs that may include:

• Pre-recorded educational content
• Live weekly sessions (e.g., discussions, office hours, modeling walkthroughs)
• Supporting materials and resources

Program details, duration, and scope are outlined in the applicable syllabus or engagement materials.

Services are provided solely to the individual purchaser and may not be transferred, assigned, or shared with any other person without prior written consent.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. By purchasing our services, you represent that you meet these requirements.

4. Account Access and Security

Access to certain online program materials requires account registration through the Wall Street Smart website.

You agree to provide accurate, current, and complete information when creating your account and to maintain the confidentiality of your login credentials. You are responsible for all activities that occur under your account.

Sharing login credentials, permitting access to any other individual, or otherwise transferring account access is strictly prohibited.

Wall Street Smart reserves the right to suspend or terminate access to online materials, without refund, in the event of unauthorized sharing, misuse, or violation of these Terms.

5. No Partnership or Agency

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Wall Street Smart. You acknowledge that Wall Street Smart is providing independent educational and consulting services.

6. Payment Terms

Payment is due in full prior to the commencement of services unless otherwise agreed in writing.

Accepted payment methods include credit card and wire transfer.

You are responsible for any wire fees, transaction fees, or bank charges associated with payment.

7. Refund Policy

14-Day Refund Period

All online programs and structured engagements are eligible for a refund within fourteen (14) days of purchase. The fourteen (14) day refund period begins on the date of purchase.

Refunds will be issued net of:

• Wire transfer fees
• Payment processing fees
• Any non-recoverable transaction costs

After the 14-day period has expired, all payments are non-refundable.

Once the refund period has lapsed, you have retained our services and we have committed resources to your engagement; therefore, no refunds, credits, or partial reimbursements will be provided.

8. Hourly Coaching Scheduling Policy

For 1:1 hourly coaching sessions:

• Sessions must be scheduled in advance and are subject to reasonable mutual availability.
• Cancellations or rescheduling requests must be made at least twenty-four (24) hours in advance. Sessions cancelled with less than 24 hours’ notice, or missed without notice, may be forfeited at our discretion and will not be refunded.

Wall Street Smart reserves the right to reschedule sessions due to unforeseen circumstances, in which case reasonable efforts will be made to provide advance notice and arrange an alternative time.

9. Scheduling and Program Completion

For structured programs that include live sessions:

• Live sessions are typically conducted on a weekly basis unless otherwise agreed.
• The program start date is defined as the date of the first scheduled live session.
• All live sessions must be completed within six (6) months of the program start date. Any sessions not completed within this six-month period will expire and will not be rescheduled or refunded.
• Sessions must be scheduled in advance and are subject to reasonable mutual availability.
• Cancellations or rescheduling requests must be made at least twenty-four (24) hours in advance. Sessions cancelled with less than 24 hours’ notice, or missed without notice, may be forfeited at our discretion and will not be refunded.

10. Force Majeure

Wall Street Smart shall not be liable for any delay or failure to perform services due to events beyond its reasonable control, including but not limited to illness, technical failures, internet outages, natural disasters, government actions, or other unforeseen circumstances.

In such events, sessions may be rescheduled at a mutually agreeable time.

11. No Employment Guarantee

Wall Street Smart provides educational content, coaching, and strategic guidance.

We do not guarantee:

• Employment
• Interview invitations
• Job offers (including investment banking, private equity, hedge fund, or other buy-side roles)
• Promotions
• Compensation increases
• Any specific career outcome

All career outcomes depend on numerous factors beyond our control, including but not limited to market conditions, individual performance, and third-party decision-makers.

12. Confidentiality

We agree to maintain the confidentiality of your personal information and engagement discussions.

You agree to maintain the confidentiality of our proprietary materials, methodologies, and business practices.

13. Intellectual Property and Restrictions on Use

All materials provided by Wall Street Smart, including but not limited to:

• Videos
• Slide decks
• Financial models
• Spreadsheets
• Case materials
• Written content
• Live session materials

are the exclusive intellectual property of Wall Street Smart.

You may not:

• Copy
• Reproduce
• Record
• Distribute
• Share
• Publish
• Upload
• Sell
• License
• Create derivative works

from any part of our materials or live sessions.

Unauthorized recording, copying, or distribution of materials is strictly prohibited and may result in immediate termination of access, legal action, and claims for damages. Participants may not record live sessions by any means without prior written consent.

Wall Street Smart reserves the right to pursue legal action, including injunctive relief and damages, for any violation of these provisions.

Access to services may be revoked immediately in the event of a breach.

Wall Street Smart reserves the right to terminate access to services, without refund, in the event of misconduct, violation of these Terms, disruptive behavior, or misuse of materials.

14. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied.

We make no representations or warranties regarding the accuracy, completeness, reliability, or results of our services.

15. Limitation of Liability

To the fullest extent permitted by law:

Wall Street Smart shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of our services.

In no event shall Wall Street Smart’s total liability exceed the total amount of fees paid by you for the applicable services.

You acknowledge that you are solely responsible for decisions made based on our educational content or coaching.

16. Indemnification

You agree to indemnify and hold harmless Wall Street Smart and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your misuse of any materials provided

17. Arbitration

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration conducted in New York County (Manhattan), New York, in accordance with the rules of the American Arbitration Association. The arbitration shall be final and binding.

The parties agree that arbitration shall be conducted on an individual basis and not as a class action or representative proceeding.

18. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

19. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and Wall Street Smart regarding the services and supersede all prior or contemporaneous discussions, communications, representations, or agreements, whether written or oral.

You acknowledge that you have not relied on any representations, promises, or statements not expressly set forth in these Terms.

20. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

21. Waiver

No failure or delay by Wall Street Smart in exercising any right under these Terms shall constitute a waiver of that right. Any waiver must be in writing and signed by Wall Street Smart.

22. Changes to Terms

We reserve the right to update these Terms and Conditions at any time. Continued use of our services after any updates constitutes acceptance of the revised Terms.
